Poste :

 

Missions and responsibilities

 

Reporting to the Head of Entrepreneurship and Venturing, and in collaboration with financial experts, you will intervene in assistance missions comprising four components:

1. Operational Buy-side & Vendor Due Diligence:

    a. Identify risks and value creation opportunities for future investors, building confidence in the feasibility of the acquisition business plan through analyzes of historical and future operating performance of target companies.

    b. Work with the head of Entrepreneurship and Venture, advise on acquisitions, joint ventures, minority equity investments, and divestitures throughout both domestically and globally, including legal review and risk analysis, transaction structuring, legal due diligence, drafting and negotiation of transaction agreements, signing and closing responsibilities and integration efforts

   c. Financial analyses, including valuation, pro forma merger scenarios, cash flow and liquidity analyses, returns analyses, through the development of detailed financial and operating models

2. Post-Merger-Integration (PMI) & Separation: In the context of a merger-acquisition (or conversely a separation), providing support during the different phases of the transaction on operational issues :

   a. Development of the integration plan and it implications for business functions,

   b. The definition and negotiation of transition contracts and the monitoring of their implementation,

   c. The development of the integration / carve-out strategy and support in the definition of the target-operating model,

   d. Assistance in the preparation and monitoring of the execution

3. Value Creation Plan (Performance improvement): At the end of a transaction, the definition and implementation of a performance improvement plan intended to secure the creation of value, increasing the capacity of the management team to assess the levers for improvement and anticipate their financial impacts to decide on priorities.

   a. Translate the "Entrepreneurship & Venturing" operational objectives into clear, understandable value drivers;

   b. Bridge the strategy and execution gap; connect the vision and objectives with the rest of the organization;

4. Operational portfolio-companies restructuring: In a context of a company, that is underperforming, definition and implementation of a performance improvement plan intended to improve results, increasing the capacity of the management team to assess options and anticipate their financial impacts.

5. M&A activities structuring:

   a. Development and organization of precedents, tools, processes, and programs to create a more efficient transaction environment 

   b. Devising M&A strategies, identifying sectors and companies that might be viable business targets

   c. Presenting findings and pitching investment opportunities at Board Meetings.

   d. Direct outside advisors and consultants when required e. Building and maintaining productive relationships with our target companies and related network.

 

Skills:

• Able to quickly understand different businesses, their key drivers, and issues

• Comfortable with conducting both primary (interviews, surveys) and secondary (deskbased) market research

• Strong competencies in financial modeling, valuation, due diligence, postmerger/acquisition integration are required, as well as a strong working knowledge of accounting.

• Excellent analytical skills, able to digest large amounts of data (numerical and text).

• Collaborative – able to lead deliverables and also collaborate across the team

• Possess outstanding interpersonal and communication skills

• Implementation-oriented: recommendations grounded in reality and willing to roll up sleeves.

 

Required profile

 

• MBA from a leading business school (preferable)

• Master's degree from an engineering/finance or business school

• 10+ years of strategy consulting experience either within a top-tier strategy house or in a strategy capacity/M&A role of leading corporate

• Must have completed either or both commercial due diligence and client-based corporate strategy engagements

• M&A execution and valuation modeling experience gained in a corporate team

• Experience in working with and managing the expectations of a diverse range of stakeholders.

• Experience in working with PE/Hedge fund shareholders (is a plus)

• Mastery proficiency of in French & English
